Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Executive Hunter website and platform. By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Acceptance of Terms

By creating an account, accessing the platform, or using any feature of Executive Hunter, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. The Service

Executive Hunter ("the Service") is a Software-as-a-Service (SaaS) platform purpose-built for executive search and recruitment firms. The Service includes:

• An Applicant Tracking System (ATS) for managing candidates and job offers
• Multi-portal job distribution (e.g. Indeed, Google for Jobs, Jora, Jobrapido)
• Video interview scheduling and conferencing tools
• Reference verification through Referon
• Email and communication management
• AI-assisted candidate matching and search support

We may add, modify, or remove features at our discretion as the Service evolves.

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use the Service. The Service is intended for professional use by recruitment agencies, executive search firms, and their authorized representatives.

4. Account Registration

You are responsible for:

• Providing accurate, complete, and current registration information
• Maintaining the confidentiality and security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that contain false information, are inactive for extended periods, or are used in violation of these Terms.

5. Subscription & Payment

• Plans: the Service is offered on subscription plans (Ignite, Scale, Command), billed monthly or annually.
• Payment: subscriptions are processed through Paddle.com, our authorized reseller and Merchant of Record. Paddle handles payment processing, billing, and applicable VAT/sales tax. By subscribing, you authorize recurring charges according to the plan you select.
• Cancellation: you may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period; you retain access to the Service until then.
• Refunds: subscription fees are non-refundable except where required by law.
• Price changes: we may change prices with at least 30 days' advance notice.

6. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful, fraudulent, or harmful purpose
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Upload, transmit, or distribute viruses, malware, or other malicious code
• Spam, harass, or send unsolicited commercial communications to candidates or third parties
• Resell, sublicense, or redistribute the Service without our written permission
• Bypass or interfere with security features, rate limits, or access controls
• Use the Service to discriminate against candidates in violation of applicable employment laws
• Scrape, harvest, or extract data from the Service through automated means without authorization

Violations of this section may result in immediate suspension or termination of your account, without refund.

7. Customer Data & Privacy

You retain all rights, title, and interest in the data you upload to the Service, including candidate profiles, job offers, and communications ("Customer Data"). By using the Service, you grant us a limited, non-exclusive license to host, store, process, and transmit your Customer Data solely as necessary to provide the Service.

You are responsible for ensuring you have a lawful basis to upload and process candidate personal data, including obtaining any necessary consents under applicable data protection laws (such as the GDPR). For more information on how we handle personal data, see our Privacy Policy.

8. Intellectual Property

All software, content, designs, logos, trademarks, and other intellectual property associated with the Service are owned by Executive Hunter or our licensors. We grant you a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms. No other rights are granted.

9. Service Availability

We strive to provide a reliable Service with high availability. However, we do not guarantee uninterrupted access. We may schedule maintenance windows with reasonable advance notice. We are not liable for downtime caused by factors outside our reasonable control (e.g., hosting provider outages, internet failures, force majeure events).

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. AI-ASSISTED FEATURES PROVIDE SUGGESTIONS ONLY AND SHOULD NOT BE RELIED UPON AS THE SOLE BASIS FOR HIRING DECISIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXECUTIVE HUNTER AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Executive Hunter, its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of any law or third-party right; (c) your Customer Data and the manner in which it was collected, processed, or used.

13. Termination

You may terminate your account at any time by canceling your subscription. We may suspend or terminate your access to the Service if you breach these Terms, fail to pay applicable fees, or use the Service in a manner that risks harm to us or other users. Upon termination, you may request export of your Customer Data within 30 days. After this period, we may delete your data in accordance with our retention policy.

14. Modifications to Terms

We may modify these Terms at any time. When we make material changes, we will revise the "Last updated" date and notify you by email or through a prominent notice on the Service. Your continued use of the Service after the effective date of any change constitutes your acceptance of the modified Terms.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Hong Kong, except where mandatory consumer protection laws of your country of residence apply.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any plan-specific Payment Terms, constitute the entire agreement between you and Executive Hunter regarding your use of the Service, superseding all prior agreements and understandings.
